Contract and Legal Claims Specialist
Looking for a candidate with extensive experience reviewing all types of Commercial and Government contracts: FFP, T&M, IDIQ, Cost Plus, GSA schedule and to assess and minimize corporate contract and legal risk. Responsible for engaging in the contract lifecycle process from cradle to grave. Responsible for evaluating issues, collaborating with various departments, and the executive leadership, to resolve disputes and claims arising from contracts. Responsible for ensuring contract compliance and protecting the organization's interests, often involving legal research, detailed contract reviews, redlining, negotiations, and documentation. The candidate will be reporting to the Sr. Contract Manager within the Finance and Accounting Department, who reports to the Executive VP of Finance and Accounting.
Contract and Legal Claims Analyst:
Review and Analysis: Review, Redline, and Evaluate contracts, proposals, and amendments for accuracy, completeness, and compliance with legal and company standards.
Negotiation and Drafting: Assist in the negotiation and drafting of new contracts, AIA subcontracts, NDAs, Teaming Agreements, Master Service Agreements, and ensuring favorable terms for the company. Support acquisition and proposal efforts and participation reviews and PreAward risk assessments.
Risk Assessment: Identify and assess potential contractual risks and develop mitigation strategies.
Contract Administration: Responsible for collaboratively engaging in and assisting colleagues throughout the cradle to grave Contract Management Lifecycle process from PreAward through contract execution. Responsible for tracking contract performance, reporting, evaluating customer financial viability, preparing legal and bond claims letters and pleadings, and for ensuring compliance with contractual obligations.
Investigation and Analysis: Investigate claims, gather evidence, and analyze the legal and factual basis of disputes.
Documentation and Record Keeping: Maintain detailed records of claims, correspondence, legal proceedings in excel, and contract document reviews in the View portal.
Negotiation and Resolution: Assist with negotiating settlements and resolving claims, seeking to resolve disputes efficiently and effectively in-house, if possible.
Legal Research: Conduct legal research to support claims, gather information, and prepare legal documents.
Compliance: Ensure compliance with relevant laws, regulations, and company policies in various jurisdictions nationally and internationally. Assist with drafting company policies and procedures.
Communication: Communicate effectively with internal and external stakeholders, including but not limited to executive management, sales teams, customers and their attorneys, contracting officers, outside legal counsel, project managers, vendors, and other colleagues.
Reporting: Prepare reports and presentations on claims, contracts, and legal and financial matters.
Training and Development: Provide training and guidance to other staff on contracts and claims management procedures and policies.
Education:
Bachelor's degree in business administration, legal studies, paralegal, marketing and sales, corporate and government contracts certification programs, project management, construction management, subcontract administration, finance and accounting background, financial certification, or a related field requiring extensive contract experience and reviews.
Experience:
At least 5-10 years experience as a contract specialist, contract administrator, paralegal, certified mediator/arbitrator, claims negotiator, and writing or preparing contracts and legal documents. Additionally, at least 5 years experience working for a construction or tech company or government agency collaborating with internal and external clients to negotiate complex contract documents. Finance, marketing & sales, estimating, project management experience a plus. Other legal experience working with corporate legal departments or at a law firm handling contracts, research, bond claims, reviewing and writing legal documents and letters, and ability to interact with court staff to obtain information and documents also highly valued.
Knowledge:
Strong understanding of contract laws, negotiation tactics, strong research and analytical skills, strong knowledge of legal and claims principles, bond and insurance processes.
Skills:
Excellent analytical, problem-solving, negotiation, finance, and communication skills are essential. Highly motivated, self starter that is willing to bring fresh ideas and that is committed to helping the business grow while at the same time minimize risk. Strong Microsoft Outlook skills, Excel, Teams, PowerPoint, Adobe, Lexis-Nexis, Dun & Bradstreet, AIA contract documents, ERP, CLM, etc. Ability to evaluate and understand the needs of the business and not be afraid to communicate facts and new ideas. Solid background interacting with construction, engineering, technology experts and guiding them to win-win solutions. Ability to review all contract documents, including scopes of work, to make sure the language in contracts is in-line with Vision proposals and the calculations are accurate.
Other:
Ability to work independently and as part of a team. Attention to detail is a must, and strong legal comprehension and organizational skills are also important. Teamwork and effective and honest communication with each other on a regular basis are absolutely necessary to manage extremely large workloads. Willing to work additional hours, if necessary, within reason, to complete work assignments in a timely manner to support the team and growing business, including some evenings and weekends. Salary is contingent on experience, education, and certification, but will range between $80,000 to 85,000. Hybrid work environment.
